Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and VisibleSeed LLC ("VisibleSeed," "we," "us," or "our") governing your use of the client dashboard at my.visibleseed.com (the "Service"). By signing in or using the Service, you agree to these Terms. The Service is provided to clients of VisibleSeed by invitation and is also governed by your separate services agreement with us (the "Services Agreement"), which controls if there is any conflict.

1. Eligibility and accounts

Access is granted by invitation to a specific email address. You must be at least 18 and authorized to act for your organization. You are responsible for keeping your sign-in methods (email inbox, passkeys, Google account, and devices) secure, and for all activity under your account. Notify us promptly at hello@visibleseed.com if you suspect unauthorized access. We may suspend or revoke access to protect the Service or to comply with your Services Agreement.

2. Acceptable use

You agree not to:

• access, or attempt to access, another client's data or any data you are not authorized to see;
• probe, scan, or test the vulnerability of the Service, or breach or circumvent authentication, rate limits, or security measures, without our prior written permission;
• disrupt, overload, or interfere with the Service or its infrastructure, including via automated scraping or denial-of-service activity;
• upload malicious code, or use the Service to store or transmit unlawful, infringing, or harmful content;
• reverse engineer or copy the Service except to the extent permitted by law; or
• use the Service in violation of any applicable law or these Terms.

3. Billing and payments

Invoices and payments shown in the Service reflect the fees agreed in your Services Agreement. Payments are processed by Stripe through their hosted billing pages; your use of Stripe is subject to Stripe's terms. The amounts, schedule, taxes, and payment terms are governed by your Services Agreement. Receipts and invoice history are provided in the Service for your convenience and do not replace your official records.

4. Documents and electronic signatures

Documents you view or sign through the Service (via DocuSeal) are real, legally meaningful records, and you consent to transacting electronically. When you sign, we record a timestamped history and a cryptographic fingerprint (SHA-256) of the signed file so its integrity can be verified later. You are responsible for reviewing documents before signing.

5. Your content

You retain ownership of the information and files associated with your organization ("Your Content"). You grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate the Service for you. You represent that you have the rights to provide Your Content and that it does not violate any law or third-party right.

6. Intellectual property

The Service, including its software, design, and branding, is owned by VisibleSeed and protected by intellectual property laws. Except for the access expressly granted here, no rights are transferred to you.

7. Service availability and changes

We work to keep the Service available and reliable, but we provide it "as is" and "as available" and do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable.

8. Third-party services

The Service integrates third-party providers (including Cloudflare, Stripe, Resend, Twilio, DocuSeal, and Google). Your use of those features may be subject to the providers' own terms, and we are not responsible for their acts or omissions.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be secure, uninterrupted, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, VisibleSeed will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from or related to the Service. Our total aggregate liability relating to the Service is governed by, and limited as set out in, your Services Agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold VisibleSeed harmless from claims, losses, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by our own gross negligence or willful misconduct.

12. Termination

We may suspend or terminate your access at any time if you violate these Terms or your Services Agreement, or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, unless your Services Agreement provides otherwise.

14. General

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with your Services Agreement and our Privacy Policy, are the entire agreement between you and us regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control.

15. Changes to these Terms

We may update these Terms as the Service evolves. We will revise the "Last updated" date above and, for material changes, notify you through the Service or by email. Continued use after changes means you accept them.
